Trade terms
Incoterms® 2020

Please read carefully. Each section begins with an "In short" summary for quick reference. The full text of each section is the binding version. Where a signed sales contract, proforma invoice or OEM agreement contains different terms, that document prevails.

Section 01

01. Acceptance & Scope

In shortThese terms apply to your use of our website and to every quotation, order and delivery unless a signed contract says otherwise.

These Terms of Service ("Terms") govern access to this website and all business transactions between ANTON Cable Management, Foshan, Guangdong, China ("ANTON", "we", "us") and its customers, including importers, distributors, wholesalers, electrical contractors, panel builders, OEM / private-label partners and project buyers ("Buyer", "you").

By using this website, requesting a quotation or placing an order, you confirm that you act on behalf of a business and accept these Terms. Where a separate written sales contract, proforma invoice (PI) or OEM agreement has been signed by both parties, the specific terms of that document prevail over these Terms in case of conflict.

Any purchasing terms issued by the Buyer apply only if expressly accepted by ANTON in writing.

Section 02

02. Use of This Website

In shortUse the website lawfully and for legitimate business sourcing purposes only.

You may browse, download product brochures and datasheets, and submit inquiries for legitimate business purposes. You agree not to:

  • Use the website in any way that breaches applicable laws, export controls or sanctions regulations.
  • Attempt to gain unauthorised access to our systems, scrape content at scale or interfere with website security.
  • Submit false, misleading or third-party information through inquiry or contact forms.
  • Reproduce product images, drawings or technical documents for commercial use without written permission.

We may suspend access, modify or withdraw website content at any time without notice. Personal data submitted via the website is handled in accordance with our Privacy Policy.

Section 03

03. Product Information & Specifications

In shortWebsite content is for reference; the confirmed technical specification is the one stated in your PI or contract.

Product descriptions, dimensions, colours, wall thickness, flame-retardant ratings and certification references shown on this website are provided for general guidance. Because cable management products are manufactured to different market standards, the binding specification for any order is the one confirmed in writing in the quotation, PI, approved sample or technical datasheet.

  • Minor tolerances in dimension and colour shade between batches are acceptable within the agreed standard or industry practice.
  • Certificates and test reports (RoHS, REACH, CE, UL94, ISO 9001) relate to the specific products and materials referenced in each report and are available on request.
  • The Buyer is responsible for confirming that the selected product meets local installation codes and project requirements in the destination market.

Section 04

04. Quotations

In shortQuotations are valid for the period stated (default 15 days) and depend on quantity, specification and raw material prices.

All quotations are issued in writing and are non-binding invitations to order until confirmed by a PI or sales contract. Unless otherwise stated:

  • Quotations are valid for 15 calendar days from the date of issue.
  • Prices are based on the stated quantity, size range, material grade, packaging and Incoterm. Changes to any of these may result in a revised quotation.
  • Due to fluctuations in PVC resin, PC+ABS compounds and nylon 66 raw material costs, ANTON may adjust prices for quotations that have expired or for orders not yet confirmed with deposit.
  • Minimum order quantities (MOQ) apply per item, colour and packaging design and are stated in each quotation.

Section 05

05. Orders & Confirmation

In shortAn order becomes binding once both parties confirm the PI or contract and the agreed deposit is received.

Orders may be placed by email, signed purchase order or through your assigned sales representative. An order is binding only when:

  • The Buyer has confirmed the PI or sales contract (including item codes, quantities, specifications, packaging and delivery terms); and
  • ANTON has received the agreed deposit, where applicable.

Changes and cancellations

Changes to quantity, specification or packaging after confirmation require written agreement and may affect price and lead time. Once production or customised packaging printing has started, orders cannot be cancelled. Costs already incurred for materials, moulds, printing plates or finished goods will be charged to the Buyer.

Samples

Standard samples are generally provided free of charge, with courier costs borne by the Buyer. Customised samples may be charged and the fee credited against the first confirmed order.

Section 06

06. Pricing & Payment

In shortStandard terms are 30% deposit and 70% balance before shipment or against copy of B/L, in USD unless otherwise agreed.

Prices are quoted in US Dollars (USD) unless another currency is agreed in writing, and exclude import duties, taxes and charges in the destination country.

  • Standard terms: 30% T/T deposit upon order confirmation, 70% balance before shipment or against copy of the Bill of Lading.
  • Other methods: L/C at sight or other terms may be agreed for qualified long-term partners and are subject to credit approval.
  • Bank charges arising outside China are borne by the Buyer.
  • Late payment may result in delayed shipment, storage charges and suspension of further orders until the account is settled.

For your security, ANTON will never change its bank account details by email alone. Always verify any change of payment details with your sales contact by phone or video call before transferring funds.

Section 07

07. Delivery, Shipping & Risk

In shortLead times are confirmed per order; risk transfers according to the agreed Incoterms® 2020 rule.

Typical production lead time for standard items is 15-30 days after deposit and final approval of specifications and artwork. The exact lead time is stated in each PI and depends on order volume and customisation.

  • Delivery terms are interpreted according to Incoterms® 2020 (for example EXW, FOB, CFR, CIF). Risk of loss transfers to the Buyer as defined by the selected rule.
  • Standard shipping ports are Foshan / Guangzhou / Shenzhen, unless otherwise agreed.
  • ANTON will provide commercial invoice, packing list, Bill of Lading and, upon request, certificate of origin and test reports required for customs clearance.
  • We will notify the Buyer promptly of any expected delay. Reasonable delays do not entitle the Buyer to cancel the order unless agreed in writing.

Title to the goods passes to the Buyer only after full payment has been received.

Section 08

08. Inspection, Quality & Warranty

In shortInspect goods within 30 days of arrival; manufacturing defects reported in time are replaced, credited or refunded.

All products are manufactured under our ISO 9001 quality management system with incoming material control, in-process checks and batch-level final inspection. Third-party pre-shipment inspection (e.g. SGS, BV, Intertek) may be arranged at the Buyer's cost.

Claims

  • Visible defects, shortages or transport damage must be reported in writing within 30 days of the goods arriving at the destination port, with photos, batch numbers and packing details.
  • Quality claims related to material or manufacturing defects must be supported by evidence and, where necessary, a test report from a recognised laboratory.

Warranty

ANTON warrants that products conform to the confirmed specification and are free from material and manufacturing defects for 12 months from the date of shipment. Where a claim is verified, ANTON will, at its option, replace the defective goods, issue a credit note or refund the price of the affected goods.

The warranty does not cover damage caused by improper installation, storage, handling, use outside the rated temperature range, prolonged UV exposure of non-UV-stabilised products, modification or normal wear.

Section 09

09. OEM, Private Label & Confidentiality

In shortYour brand, designs and customer information stay confidential and are never sold to third parties.

ANTON supports OEM and private-label production, including custom colours, sizes, logo printing, labels and branded packaging.

  • The Buyer warrants that it owns or is licensed to use all trademarks, logos and artwork supplied to ANTON, and will indemnify ANTON against any third-party infringement claims arising from them.
  • ANTON will not sell products bearing the Buyer's brand or exclusive design to any third party.
  • Moulds or tooling paid in full by the Buyer remain the Buyer's property and are used exclusively for the Buyer's orders.
  • Both parties shall keep confidential all non-public commercial information, including pricing, drawings, customer lists and market data, during cooperation and for 3 years afterwards.
  • Market protection or exclusive distribution arrangements are available by separate written agreement, subject to agreed volume commitments.

Section 10

10. Intellectual Property

In shortAll ANTON website content, brand assets and technical documents remain our property.

The ANTON name and logo, website design, text, product photographs, drawings, catalogues and technical datasheets are owned by or licensed to ANTON Cable Management and are protected by intellectual property laws.

Distributors and resellers may use ANTON product images and descriptions to promote genuine ANTON products, provided the content is not altered in a misleading way. Any other use requires our prior written consent. Supplying products does not transfer any intellectual property rights to the Buyer, except as expressly agreed in an OEM agreement.

Section 11

11. Limitation of Liability

In shortOur total liability for any order is limited to the value of the goods concerned.

To the maximum extent permitted by law:

  • ANTON's total liability arising from any order, whether in contract, tort or otherwise, shall not exceed the invoice value of the specific goods giving rise to the claim.
  • ANTON shall not be liable for indirect or consequential losses, including loss of profit, loss of business, project delays, penalties under third-party contracts or installation and removal costs.
  • Website content is provided "as is" without warranty of accuracy or completeness; we are not liable for decisions made solely on the basis of website information.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

Section 12

12. Force Majeure

In shortNeither party is liable for delays caused by events beyond reasonable control.

Neither party is liable for failure or delay in performing its obligations caused by events beyond its reasonable control, including natural disasters, epidemics, war, government restrictions, power rationing, port congestion, strikes or carrier disruption.

The affected party shall notify the other promptly and use reasonable efforts to minimise the impact. If a force majeure event continues for more than 60 days, either party may cancel the unperformed part of the order without liability, except for payment for goods already delivered or produced.

Section 13

13. Governing Law & Dispute Resolution

In shortDisputes are first settled by negotiation, then by arbitration, under the laws of the PRC unless otherwise agreed.

These Terms and all orders are governed by the laws of the People's Republic of China. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded unless the sales contract states otherwise.

The parties shall first attempt to resolve any dispute amicably through good-faith negotiation within 30 days. If unresolved, the dispute shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in accordance with its rules. The arbitration shall be conducted in English, and the award shall be final and binding on both parties.

Section 14

14. Changes to These Terms

In shortWe may update these terms; confirmed orders follow the version in force at the time of confirmation.

ANTON may update these Terms from time to time to reflect changes in law, business practices or our product range. The "Last updated" date at the top of this page shows the latest revision.

Orders confirmed before an update remain subject to the version of the Terms in force at the time of confirmation. Continued use of the website or new orders after an update constitute acceptance of the revised Terms.
